Community partnership agreement

  1. General

This agreement (the ”Agreement”) is entered into between you ("Partner Organization") and us ("Contractbook"). Contractbook and the Partner Organization are jointly referred to as the “Parties” and each a “Party”.

  1. Background

The Agreement will promote entrepreneurial ecosystems and offer the Partner Organization's portfolio companies optimisation of their current contract management via a partnership program ("Community Partnership Program"). The Community Partnership Program distinguishes between two kinds of partnership categories:  Contractbook for Start-ups, and, Contractbook for Growth, both having eligibility criteria which must be fulfilled in order to benefit from the Community Partnership Program. The criteria is defined in the Criteria and Discount Overview below. The Community Partnership Program ensures that companies (the "Company") generated through the Community Partnership Program are given the discounts stipulated in the Criteria and Discount Overview below below.

  1. Non-exclusivity

This Agreement does not create an exclusive agreement between Contractbook and the Partnership Organization. The Parties will have the right to recommend similar products and services of third parties and to work with other parties in the same or similar capacity.

  1. Partnership Organization Acceptance and Participation

Once you complete an application to become a part of the Community Partnership Program of Contractbook, we will review your application and notify you if you have been accepted or rejected. If we do not notify you about acceptance within 30 days from when you submitted your application, your application is considered to be rejected.

If you are accepted as a Partnership Organization, the provisions of this Agreement applies in full until the Agreement is terminated.

Contractbook reserves the right to change, update and modify its website, platform, services, and this Agreement from time to time. If any changes are made to this Agreement, the Partnership Organization will be given a written notification of such a change and a perion of 10 days to object to such changes.

  1. No Fees

No payment shall be made by either Party under this Agreement. The Agreement formally sets out the collaboration between the Parties. It is agreed that any agreement that is entered into between Contractbook and a Company generated through the Partner Organization will be an independent agreement in which the Partner Organization has no obligations.

  1. Trademarks and Marketing

The Partnership Organization grant to Contractbook a nonexclusive, nontransferable, royalty-free right to use and display its trademarks, service marks and logos in connection with this Agreement.

During the term of this Agreement, you may use Contractbook's trademark as long as you follow the usage requirements in this section.  You must:

(i) only use the Contractbook's trademark made available to you, without any alterations;

(ii) only use Contractbook's trademarks in connection contract lifecycle management in the light of this Community Partnership Program and this Agreement; and

(iii) immediately comply if Contractbook request that you discontinue use.

You must not:

(i) use Contractbook's trademark in a misleading or disparaging way; (ii) use Contractbook's trademark in a way that implies we endorse, sponsor or approve of your services or products; or

(iii) use Contractbook's trademark in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material.

If you are accepted as a Partnership Organization and would like to announce such, this may be done upon our prior written consent. Such consent may be obtained from:

  1. Intellectual Property

No license to any software is granted by this Agreement. Contractbook's products and service are protected by intellectual property laws. Contractbook retain all ownership rights relating to the Contractbook platform and any other materials belonging to Contractbook including, but not limited to, trademarks.

  1. Confidentiality

Any information which the Parties may obtain or possess concerning the other Party, shall be considered confidential and shall not be disclosed to third parties without the relevant Party's prior written consent.

The Confidentiality obligation shall not apply to information,

  • (i) which becomes publicly available through no fault of the receiving party;
  • (ii) that a Party comes into possession of in good faith from a third party;
  • (iii) that a Party is required to disclose under applicable law or to fulfil its obligations and exercise its rights under the Agreement.
  1. Term and Termination

The Agreement shall become valid upon your acceptance to the Community Partnership Program and until terminated. The Parties agree that the Agreement may be terminated without any reason by either Party giving a notice of 30 days. Termination of the Agreement by either Party shall not affect any agreements entered into between Contractbook and any Company prior to the termination.

  1. Partnership Organization Representation and Warranties

The Partnership Organization represent and warrant that: (i) participation in this Agreement and Community Partnership Program will not conflict with any of your existing agreements or arrangements; and (ii) you own or have sufficient rights to use and to grant to us our right to use the Partner Marks.

  1. Indemnification

The Partnership Organization will indemnify, defend and hold Contractbook harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an "Action") brought against Contractbook (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party not affiliated with us to the extent that such Action is based upon or arises out of (a) the Partnership Organizationyour participation in this Agreement and  Community Partnership Program, (b) Partnership Orgsnization's non-compliance with or breach of this Agreement, or (c) Contractbook's use of the Partner Marks.

Contractbook will: notify the Partnership Organization in writing within thirty (30) days of our becoming aware of any such claim; give the Partnership Organization the sole control of the defense or settlement of such a claim; and provide the Partnership Organization (at your expense) with any and all information and assistance reasonably requested to handle the defense or settlement of the claim. The Partnership Organization shall not accept any settlement that:

(i) imposes an obligation on Contractbook;

(ii) requires Contractbook to make an admission; or

(iii) imposes liability not covered by these indemnifications or places restrictions on Contractbook without Contractbook's prior written consent.

  1. Governing Law and Venue

The Agreement is subject to the laws of Denmark. The Parties agree that the City Court of Copenhagen in the first instance shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.

  1. Entire Agreement

This Agreement is the entire agreement between the Parties and supersedes all other proposals and agreements. The Agreement cannot be assigned to another party without Contractbook's approval.

  1. Survival

Sections 7, 8, 9, and 11 shall survive the termination of this Agreement.

Criteria and Discount Overview

Category criteria and Discounts for: Contractbook for Start-ups

  • Criteria:
  • The Company generated through the Partner Organization must have existed for a maximum of 4 years, and;
  • The Company generated through the Partner Organization must be a new customer of Contractbook, and;
  • The Company generated through the Partner Organization must be a member of a Partnership Organization, and;
  • Filled in the Partnership discount form https://contractbook.com/apply-for-a-discount, and;
  • The Company generated through the Partner Organization must commit to annual payments paid in advance to unlock the discount. Prices with discount can be found in the Appendix below.

The Company generated through the Community Partnership Program will, depending on the subscription plan of their own choice, be subject and benefit from the following prices which includes the discount:

Category criteria and Discounts for: Contractbook for Growth

  • Criteria:
  1. The Company generated through the Partner Organization must be 4 years or older, and;
  2. The Company generated through the Partner Organization must be a new customer of Contractbook, and;
  3. The Company generated through the Partner Organization must be a member of a Partnership Organization, and;
  4. Filled in the Partnership discount form https://contractbook.com/apply-for-a-discount, and;

The Company generated through the Partner Organization must commit to annual payments paid in advance to unlock the discount. Prices with discount can be found in the Appendix below.

Order Confirmations

Contractbook and the Company generated through the Community Partnership Program will sign an independent Order Confirmation.

The Order Confirmation will stipulate:

  1. The Partnership Organization it was generated from;
  2. What kind of category the Company is eligible to benefit from;
  3. The plan the Company has decided to use;
  4. Terms and Conditions.
