Data Act Addendum

1. Data Act Switching Request

1.1. Customer may, upon no less than two (2) months written notice, request Contractbook to assist Customer in switching from the Services to another provider's similar services (the “Switching Request”). 

1.2. Customer shall at the time of the Switching Request notify Contractbook of its wish to perform one or more of the following actions at the end of the notice period for the Switching Request: (i) switch to a different provider of similar services as the Services, in which case Customer shall provide the necessary details of that provider, (ii) switch to an on-premises ICT infrastructure, and (iii) erase its exportable data and digital assets.

1.3. Contractbook shall then without undue delay or at least within 30 days after the Switching Request has been received and subject to applicable technical limitations (i) provide reasonable assistance to Customer during the switching process, (ii) act with due care to maintain business continuity for Customer’s use of the Services, (iii) provide clear information concerning known risks to continuity in the provision of the Services, and (iv) ensure that a high level of security is maintained throughout the switching process. 

1.4. If technically or otherwise unfeasible to conclude such switching assistance within 30 days, Contractbook shall within 14 days after the Switching Request notify Customer and suggest another timeframe for the switching assistance which shall not exceed seven (7) months. 

1.5. Notwithstanding anything to the contrary in the Agreement, the Agreement shall be terminated either (i) upon the successful completion of the switching process or (ii) at the end of the notice period for the Switching Request when Customer does not wish to switch but instead to erase its exportable data and digital assets upon termination of the Agreement.

2. Data Formats

Services that feature document export offer the output of documents in PDF format and of metadata in CSV format. Other transactional data can be exported in CSV format for the duration of the retention period for transaction history of the relevant service.

3. Fees

3.1 Customer shall pay Contractbook (i) an Early Termination Fee per Article 3.2 below and (ii) with regard to Switching Requests made prior to 12 January 2027, for Contractbook’s switching assistance at 150 EUR/hour.

3.2 Upon the termination of the Agreement in accordance with Article 1.5 above Customer shall pay Contractbook an Early Termination Fee calculated as the amount equal to all fixed fees for the remainder of the Term had Customer not made the Switching Request. The Early Termination Fee shall become immediately payable.
